1. ACCEPTANCE AND SCOPE
These Terms of Use and End User Licence Agreement (the "Terms") form a binding agreement between 9432-4944 Québec inc. (the "Company", "LOK-8", "we", "us", or "our"), operator of Lok-8.me, Meretrouver.com, Reencuentra.me and related websites and services (collectively, the "Service"), and each person or organization that accesses or uses the Service ("User", "you", or "your").
By creating an account, checking an acceptance box, purchasing or activating a membership, accessing a LOK-8 profile, or otherwise using the Service, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
These Terms apply to customers and end users. Participation as an authorized reseller is additionally governed by a separate LOK-8 Reseller Agreement. If you are an authorized reseller, these Terms govern your use of the Service as an end user except where the Reseller Agreement expressly governs your reseller activities.
2. THE LOK-8 SERVICE
LOK-8 provides flexible QR-based information-sharing and contact tools that may include physical QR-coded tags and accessories, customizable online profiles, emergency-contact information, printable or downloadable materials, optional location-sharing features, account and membership functionality, and related services.
LOK-8 is not an identity-verification, identity-certification, authentication, or identity-document service. The Company does not verify or certify that a person, pet, item, profile name, alias, photograph, medical statement, emergency contact, or other profile information is the true identity or verified information of the person or subject described. Unless expressly stated otherwise by the Company, LOK-8 is also not a GPS tracking device, continuous monitoring service, emergency dispatch service, medical service, law-enforcement service, rescue service, or guarantee of contact, location, recovery, safety, or emergency response.
Certain features depend on third-party devices, browsers, networks, hosting providers, payment providers, mapping or location technologies, and other services outside the Company's control.
3. ELIGIBILITY, ACCOUNTS AND ACCOUNT SECURITY
Information displayed in a LOK-8 profile is generally selected by the User and may, where lawful, use an alias, nickname, limited information, or other privacy-protective information instead of a legal name or other identifying information. The Company does not require public profile information to establish or certify legal identity. However, where the Company specifically requires information for checkout, billing, payment processing, product delivery, FREE-account validation, fraud prevention, legal compliance, or another administrative purpose, you must provide information that is accurate, current and complete as reasonably required for that purpose. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account, except to the extent otherwise required by applicable law.
You must promptly notify the Company if you reasonably believe that your account or credentials have been lost, compromised, or used without authorization. The Company may require identity or account verification and may restrict or suspend access where reasonably necessary to protect the Service, users, or the security of an account.
The use of an alias, nickname, pseudonym, limited profile information, or intentionally omitted information for privacy is not prohibited merely because it differs from a legal identity. However, you may not impersonate another real person in a deceptive or harmful manner, provide false information where accurate information is specifically required for billing, payment, delivery, FREE-account validation, fraud prevention, or legal compliance, access another person's account without authorization, or use the Service for fraudulent, unlawful, abusive, or deceptive purposes.
4. FREE ACCOUNTS AND TRIALS
FREE accounts, free trials, promotional benefits, quotas, allowances, profiles, QR codes and similar benefits are subject to the Company's then-current eligibility rules and the separate FREE Accounts Policy made available through the Service.
Unless otherwise expressly authorized by the Company, only one (1) FREE account is permitted per household. A FREE account must be validated within ninety (90) days after account creation using the validation procedure designated by the Company, which may include a physical validation code. This requirement is intended, among other purposes, to protect the Service against automated registrations, duplicate-account abuse, and other misuse. Failure to complete required validation within the applicable period may result in restriction, suspension, or loss of FREE-account functionality, subject to applicable law. Where the Company permits additional FREE accounts, additional verification or validation may be required.
Users may be offered a ninety (90) day trial of the PLUS membership. The PLUS trial may provide access to the same features as a paid PLUS membership, subject to different usage quotas, limits or allowances.
FREE accounts and trials do not create a right to perpetual access to any particular feature, quota, allowance, trial, service level, or promotional benefit. The Company may modify such offerings prospectively, subject to applicable law.
5. PAID MEMBERSHIPS, PRICING AND RENEWAL
Paid memberships are purchased for a defined membership period at the price and on the terms presented at checkout.
Unless expressly stated otherwise at the time of purchase, LOK-8 paid memberships do not renew automatically. At the end of the paid membership period, the membership expires unless the User voluntarily purchases or manually renews another membership period. The Company will not automatically charge the User for a subsequent membership period unless the User has separately and expressly agreed to an automatic-renewal arrangement offered by the Company in the future.
Prices, membership levels, features, quotas and product offerings may change prospectively. A change does not retroactively alter a completed purchase except where permitted or required by applicable law.
6. REFUNDS AND EARLY DISCONTINUATION
Except where a refund, cancellation or other remedy is required by applicable law, payments for paid memberships are final and non-refundable once successfully processed. The Company does not provide full, partial, prorated, or unused-time refunds or credits merely because a User does not use, partially uses, stops using, or no longer wishes to use the Service during a paid membership period.
A User may stop using the Service or request closure of an account. Except where applicable law provides otherwise, early discontinuation or account closure does not create a right to a refund for the remaining portion of a paid membership period.
Additional terms are set out in the Company's Refund and Membership Renewal Policy. Nothing in these Terms limits any consumer-protection, cancellation, refund, warranty, or other right that cannot lawfully be excluded or restricted.
7. PHYSICAL PRODUCTS
The Company may sell physical QR-coded tags, bracelets, cards, labels, accessories, and other products designed to provide access to User-selected LOK-8 information. These products do not constitute government identification, proof of identity, identity certification, or authentication. Product descriptions, materials, customization options, prices, shipping terms and other purchase information are presented through the Service and may change prospectively.
Users are responsible for reviewing customization information before submitting an order. Because certain products may be personalized or engraved, modification or cancellation after production has begun may not be possible, subject always to rights that cannot be excluded under applicable law.
Normal wear, physical damage, loss of a product, obstruction or deterioration of a QR code, or changes in third-party scanning technology may affect usability. Possession of a LOK-8 product does not guarantee that it will be scanned, that a profile will be accessed, that the information displayed will be verified or relied upon, or that contact, assistance, location, or recovery will occur.
8. QR CODES, PROFILES AND USER CONTENT
Users may create profiles and submit text, photographs, contact information, medical or emergency information, documents, customization data and other materials ("User Content").
You retain your rights in User Content. You grant the Company and its service providers a non-exclusive licence to host, store, reproduce, process, display, transmit and otherwise use User Content as reasonably necessary to operate, secure, maintain and provide the Service and the functions you request.
You represent that you have the lawful right and authority to submit the User Content and to authorize its use as described in these Terms and the Privacy Policy. You must not submit content that is unlawful, fraudulent, defamatory, infringing, malicious, or that unlawfully violates another person's privacy, confidentiality, intellectual-property, or other rights.
A LOK-8 QR code or other identifier may permit a third party to access information that the User has chosen to make available through the associated profile. Users are responsible for deciding what profile information is appropriate to make accessible.
9. PERSONAL, MEDICAL AND EMERGENCY INFORMATION
The Service may permit Users to provide personal, medical, accessibility, emergency-contact, descriptive, or similar information. Every such profile field is optional unless the Service expressly indicates otherwise for a particular administrative function. Users may choose to provide true identifying information where they believe it is important - for example, to assist a non-verbal or otherwise vulnerable person, communicate a serious allergy or medical condition, or enable contact with a family member - but the Company does not require, verify, authenticate, or certify public profile information as true, complete, current, medically accurate, or suitable for any particular purpose.
The User decides what information, if any, is appropriate to place in a profile and is responsible for maintaining information the User chooses to provide. A User may deliberately use aliases, nicknames, generalized descriptions, or omit information to reduce public disclosure of personally identifiable information, provided the use is lawful and not intended to impersonate, defraud, or harm another person. Where information concerns a child, dependent, vulnerable person, or another third party, the User is responsible for having the legal authority or consent required to provide and publish that information.
LOK-8 is not a medical provider and information made available through the Service is not medical advice. Users, finders, caregivers, healthcare personnel and other persons should use their own judgment and appropriate professional or emergency services where circumstances require them.
10. GPS POSITION SHARING
LOK-8 products do not contain a GPS tracking device and do not independently or continuously determine, monitor, or transmit the location of a person, pet, product, or item.
Where GPS position sharing is available, location information is obtained from the device used by a third party to scan or access a LOK-8 QR code or associated profile, subject to that device's capabilities, settings, permissions, connectivity and location services. The person using that device may decline or prevent location sharing.
Location information may be approximate, delayed, unavailable, inaccurate, incomplete, altered, obscured, proxied, or otherwise different from the actual physical location. The Company does not guarantee that a location will be supplied or that location information will result in identification, contact, recovery, rescue, or any particular outcome.
The Company's separate GPS Position Sharing Policy forms part of the rules applicable to this feature. Users must not rely exclusively on LOK-8 location information where emergency services, law enforcement, medical assistance, or other professional services are appropriate.
11. COOKIES, SESSIONS AND REFERRAL ATTRIBUTION
The Service may use cookies and similar technologies for authentication, sessions, preferences, security, analytics, functionality and other purposes described in the Company's Cookie Policy and Privacy Policy.
Where a visitor accesses the Service through an authorized reseller or referral link, a cookie or similar technical mechanism may temporarily record a referral identifier. Referral attribution is governed by the Company's applicable program rules. A referral relationship does not give a reseller ownership of, control over, or access to the User's account, personal information, medical information, payment information, or other private account data merely because the User was referred by that reseller.
12. AUTHORIZED RESELLERS AND COMMERCIAL USE
Except for persons expressly authorized by the Company under a separate written or electronically accepted agreement, Users may not resell the Service, hold themselves out as an agent or representative of the Company, or commercially exploit Company branding, referral mechanisms, products, or services in a manner not authorized by the Company.
An approved reseller acting within the scope of a valid LOK-8 Reseller Agreement is not in breach of this section merely by conducting the reseller or referral activities expressly permitted by that agreement.
Resellers cannot accept these Terms, the Privacy Policy, or any customer consent on behalf of a customer. Each customer or end user must independently accept the terms and provide any consent applicable to that person's use of the Service.
13. PROHIBITED CONDUCT AND ABUSE
You may not misuse the Service or attempt to interfere with its normal operation. Prohibited conduct includes unauthorized access; malicious code; automated abuse; scraping or probing contrary to law or authorization; manipulation of QR codes, referral codes, cookies, validation procedures, accounts, payments or membership status; fraudulent chargebacks; creation of duplicate or fictitious accounts to obtain benefits improperly; circumvention of FREE-account limits or usage quotas; infringement of intellectual-property rights; and use of the Service for unlawful or deceptive activity.
The Company may investigate suspected abuse and may require verification, restrict functionality, suspend or terminate accounts, revoke improperly obtained benefits, or take other reasonable protective action, subject to applicable law.
14. LIMITED LICENCE TO USE THE SERVICE
Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for its intended purposes.
Except as permitted by law or expressly authorized by the Company, you may not copy, reproduce, modify, distribute, sell, sublicense, reverse engineer, decompile, disassemble, circumvent technical protections of, or create derivative works from the Company's software, systems, website content, branding, or proprietary technology.
Nothing in these Terms transfers ownership of the Service or Company intellectual property to you.
15. INTELLECTUAL PROPERTY AND FEEDBACK
The Service, Company names, logos, trademarks, designs, software, website content and other Company materials are owned by the Company or its licensors and are protected by applicable intellectual-property laws.
If you voluntarily provide suggestions, ideas or feedback concerning the Service, you grant the Company a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify and incorporate that feedback for any lawful business purpose without compensation to you, provided that this does not transfer ownership of your personal User Content merely because it is submitted through the Service.
16. THIRD-PARTY SERVICES
The Service may interact with or depend on third-party hosting, payment, mapping, communications, browser, device, analytics, infrastructure, or other technologies. The Company does not control all such third-party services and cannot guarantee their uninterrupted availability, accuracy, security, or continued compatibility.
Your use of a third-party service may also be governed by that third party's own terms and privacy practices.
17. SERVICE CHANGES, MAINTENANCE AND AVAILABILITY
The Company may maintain, update, modify, add, restrict, replace, or discontinue features of the Service for operational, security, legal, technical, or business reasons, subject to applicable law and any contractual rights that cannot lawfully be modified.
The Service may be unavailable from time to time because of maintenance, outages, third-party failures, security events, network conditions, or circumstances outside the Company's reasonable control. The Company does not guarantee uninterrupted or error-free operation.
18. PRIVACY
The Company's collection, use, disclosure, retention and other processing of personal information is governed by the LOK-8 Privacy Policy and applicable privacy law.
Information that a User intentionally makes accessible through a LOK-8 profile may be viewable by persons who access the applicable QR code, link, profile or other authorized access method. Other information collected for account administration, transactions, security, analytics, referral attribution, reseller verification, support, or legal compliance is not made public merely because it is provided to the Company.
Users should review the Privacy Policy carefully before submitting personal, medical, emergency, location, or other sensitive information.
19. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER OR CIRCUMSTANCE.
WITHOUT LIMITING RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, THE COMPANY DOES NOT GUARANTEE THAT A QR CODE WILL BE SCANNED; THAT A THIRD PARTY WILL CONTACT A USER; THAT PROFILE INFORMATION WILL BE ACCESSED OR CORRECTLY INTERPRETED; THAT LOCATION INFORMATION WILL BE AVAILABLE OR ACCURATE; OR THAT A PERSON, PET, PRODUCT, OR ITEM WILL BE IDENTIFIED, LOCATED, PROTECTED, RESCUED, OR RECOVERED.
Nothing in these Terms excludes any legal warranty, consumer right, or statutory protection that cannot lawfully be excluded.
20. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY IS NOT RESPONSIBLE FOR LOSS OR DAMAGE CAUSED BY A USER'S DECISION TO PUBLISH INFORMATION; THE CONDUCT OF A FINDER OR OTHER THIRD PARTY; FAILURE TO SCAN OR ACCESS AN IDENTIFIER; INACCURATE OR UNAVAILABLE LOCATION INFORMATION; THIRD-PARTY TECHNOLOGY; UNAUTHORIZED REDISTRIBUTION OF INFORMATION THAT A USER MADE PUBLICLY ACCESSIBLE; OR USE OF THE SERVICE AS A SUBSTITUTE FOR APPROPRIATE EMERGENCY, MEDICAL, LAW-ENFORCEMENT, OR PROFESSIONAL SERVICES.
Any monetary limitation of liability will apply only to the extent enforceable under applicable law. Nothing in these Terms limits liability or remedies that cannot lawfully be limited or excluded.
21. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company and its directors, officers, employees, contractors and service providers from third-party claims, liabilities, losses and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, your infringement of another person's rights, or User Content that you did not have the lawful right to submit.
This section does not require a consumer to indemnify the Company where such an obligation is prohibited or unenforceable under applicable law.
22. SUSPENSION AND TERMINATION
The Company may restrict, suspend, or terminate access to the Service where reasonably necessary because of fraud, abuse, security risk, material breach of these Terms, non-payment, unlawful conduct, or protection of users, the Company, or third parties, subject to applicable law.
A User may stop using the Service at any time and may request account closure through available Company procedures. Account closure, membership expiration, and termination do not automatically require immediate deletion of every record. The Company may retain information where reasonably necessary or legally permitted for accounting, tax, fraud prevention, security, dispute resolution, legal compliance, backup, or other legitimate purposes described in the Privacy Policy.
Provisions that by their nature should survive termination, including intellectual-property rights, accrued payment obligations, disclaimers, limitations of liability, dispute provisions, and lawful data-retention obligations, will survive.
23. CHANGES TO THESE TERMS
The Company may update these Terms from time to time. The updated version will identify a revised effective or last-updated date and will be made available through the Service.
Where applicable law requires advance notice, renewed consent, or another procedure for a material change, the Company will comply with that requirement. Changes will operate prospectively unless applicable law permits otherwise.
If a User does not agree to revised Terms, the User may stop using the Service, subject to obligations and rights arising from purchases or conduct occurring before termination.
24. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You agree that agreements, notices, disclosures, confirmations and other communications relating to the Service may be provided electronically where permitted by law.
Checking an acceptance box, completing an electronic registration or purchase flow, or otherwise electronically indicating agreement is intended to have the same legal effect as a handwritten signature to the extent permitted by applicable law. The Company may retain records of the version accepted, date and time, account identifier and related technical records.
25. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Québec and the federal laws of Canada applicable in Québec, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.
Subject to any mandatory consumer-protection or other law that provides otherwise, disputes relating to these Terms or the Service will be submitted to the courts of competent jurisdiction sitting in Montréal, Québec.
26. GENERAL PROVISIONS
If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
The Company's failure to enforce a provision is not a waiver of that provision or any other right.
These Terms, together with policies and purchase terms expressly incorporated or applicable to a particular feature or transaction, constitute the agreement governing the User's use of the Service. A separate agreement, including an authorized Reseller Agreement, may govern additional activities without replacing these Terms except where that separate agreement expressly provides otherwise.
Headings are for convenience only and do not affect interpretation.
27. RELATED POLICIES
Depending on the features used, the following Company policies may also apply and should be read together with these Terms:

Authorized resellers are additionally governed by the separate LOK-8 Reseller Agreement. If there is a direct conflict between these Terms and a specialized policy concerning the specific subject addressed by that policy, the specialized policy will govern that subject to the extent of the conflict, except where applicable law requires otherwise.

29. ACKNOWLEDGEMENT
By accepting these Terms electronically or continuing to use the Service where such continued use constitutes valid acceptance under applicable law, you acknowledge that you have read and understood these Terms and agree to be legally bound by them.
You further acknowledge that LOK-8 is a flexible QR-based information-sharing and contact system, not an identity-verification or identity-certification service, and not a guarantee of tracking, emergency response, safety, contact, location, or recovery.
